1. Introduction
These Terms of Service ("Terms") govern your use of the website chinafert-gh.com (the "Site") and all business transactions conducted with GreenHarvest Fertilizer Co., Ltd. ("GreenHarvest," "we," "us," or "our"), a fertilizer manufacturer and exporter registered in Dezhou, Shandong Province, China. By accessing our website, submitting an inquiry, requesting a quotation, or placing an order, you ("you," "the Buyer") acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms constitute a legally binding agreement between you and GreenHarvest. If you do not agree with any provision of these Terms, please do not use our website or engage in transactions with us. We may revise these Terms at any time, and continued use of our services after changes are posted constitutes acceptance of the updated Terms.
2. Acceptance of Terms
By submitting a purchase inquiry, accepting a quotation, or placing an order with GreenHarvest, you confirm that:
- You are at least 18 years of age and have the legal authority to enter into binding contracts on behalf of your company.
- The company you represent is a legitimate business entity registered in your jurisdiction.
- You have the authority to make purchasing decisions and authorize payments on behalf of your company.
- All information you provide to us, including company registration details and import qualifications, is accurate and current.
- You will comply with all applicable import regulations, customs laws, and agricultural product standards in your destination country.
3. Products and Services
GreenHarvest manufactures and supplies bulk fertilizer products for business-to-business (B2B) export only. We do not sell to individual consumers or in retail quantities. Our product range includes:
- Nitrogen fertilizers (urea 46-0-0, ammonium sulfate 21-0-0-24S, ammonium nitrate).
- Phosphate fertilizers (DAP 18-46-0, MAP 11-52-0, SSP 0-16-0, TSP 0-46-0).
- Potassium fertilizers (MOP/KCl 60%, SOP 50%, potassium nitrate 13-0-46).
- Compound (NPK) fertilizers in standard and custom ratios (e.g., 15-15-15, 20-10-10, 17-17-17).
- Water-soluble fertilizers for fertigation and foliar application.
- Organic fertilizers, foliar micronutrient blends, and slow-release coated fertilizers.
- OEM custom-blended fertilizers with private-label packaging.
The minimum order quantity (MOQ) for standard products is one 20-foot container (typically 27-28 metric tons). For OEM custom formulations and private-label packaging, the MOQ is 50-100 metric tons depending on the product. All products are sold in bulk packaging (25kg, 50kg, or 1000kg jumbo bags) unless otherwise agreed.
4. Orders and Quotations
All orders begin with a written quotation issued by our sales team. The following terms apply to quotations and orders:
- Quotation validity: All price quotations are valid for 15 days from the date of issue, unless otherwise stated. Fertilizer prices are subject to raw material and currency fluctuations and may change after the validity period.
- Order confirmation: A quotation becomes a binding order only when the Buyer issues a written purchase order and we confirm acceptance in writing. A proforma invoice (PI) will be issued upon confirmation.
- Minimum order quantity (MOQ): The MOQ for standard fertilizer products is one 20-foot container. For custom NPK formulas, the MOQ is 100 metric tons. For OEM private-label packaging, the MOQ is 50 metric tons.
- Pricing: Quoted prices are based on the specified Incoterm (FOB, CIF, CFR, or FCA), packaging type, total volume, and prevailing exchange rates. Prices do not include destination import duties, taxes, or local handling charges unless explicitly stated.
- Product specifications: Nutrient content (N, P, K percentages), moisture, granule size, and packaging are specified in the proforma invoice. Any deviation must be agreed upon in writing before production.
5. Payment Terms
We accept the following standard international payment methods for fertilizer export orders:
- Telegraphic Transfer (T/T): 30% advance payment with the order confirmation, and 70% balance payment against the bill of lading copy and shipping documents. T/T is the most common and fastest payment method.
- Letter of Credit (L/C): Irrevocable, confirmed L/C at sight, issued by a top-50 international bank. L/C is recommended for large orders and government tenders. All L/C terms must be mutually agreed upon before production begins.
- Payment currency: USD (United States Dollars) is the default currency. EUR, AED, and RMB are also accepted by mutual agreement.
Production will not commence until the advance payment is received and cleared in our bank account. For L/C orders, production begins only after the L/C is confirmed as operative and acceptable by our bank. Any bank charges and transfer fees are borne by the Buyer.
6. Delivery and Shipping
We ship fertilizer to over 60 countries worldwide by sea freight and, for urgent orders, by air freight. The following shipping terms apply:
- Incoterms: We operate under FOB (Free On Board), CIF (Cost, Insurance, Freight), CFR (Cost and Freight), and FCA (Free Carrier) terms as defined by Incoterms 2020. The specific Incoterm is stated in the proforma invoice.
- Port of loading: Qingdao Port, China, is our primary loading port. Tianjin and Shanghai ports are also available upon request.
- Container types: 20-foot general purpose (20GP) and 40-foot high cube (40HQ) containers are used. Loading tonnage depends on product density and packaging (typically 25-28 MT per 20GP, 26-29 MT per 40HQ).
- Production lead time: 7-15 days for standard products, 15-20 days for OEM packaging, and 20-30 days for custom NPK formulations, calculated from the date advance payment is received.
- Shipping time: 7-15 days to Southeast Asia, 18-25 days to the Middle East, 25-35 days to Africa, 30-45 days to Europe, and 30-50 days to the Americas, depending on the destination port and shipping line schedule.
- Documentation: We provide a complete export documentation package including commercial invoice, packing list, bill of lading, certificate of origin (COO), certificate of analysis (COA), and any required phytosanitary or fumigation certificates.

7. Quality and Inspection
Quality is guaranteed at every stage of production and shipment. The following inspection terms apply:
- In-house QC: Every batch is tested in our in-house laboratory for nutrient content, moisture, granule size, heavy metals, and other parameters. A Certificate of Analysis (COA) is issued for each shipment.
- SGS inspection: Buyers may request SGS (Societe Generale de Surveillance) or other independent third-party inspection at the loading port. Inspection costs may be shared or borne by the Buyer as agreed.
- CIQ inspection: All fertilizer exports from China are subject to China Inspection and Quarantine (CIQ) verification before customs release.
- Pre-shipment samples: We can send pre-shipment samples for Buyer approval before container loading. Samples are provided free of charge; the Buyer pays for courier delivery.
- Quality acceptance: The quality parameters agreed in the proforma invoice constitute the binding quality specification. Tolerances for nutrient content are within +/- 1% of the stated specification, consistent with international fertilizer trade standards.
8. Warranties and Disclaimers
We warrant that our fertilizer products conform to the specifications stated in the proforma invoice and accompanying Certificate of Analysis at the time of shipment. This warranty is limited to the quality of the product as manufactured and does not extend to:
- Crop performance, yield outcomes, or agronomic results, which depend on factors beyond our control including soil conditions, weather, application methods, and farming practices.
- Damage or deterioration caused by improper storage, handling, or transportation after the goods leave the loading port under FOB terms.
- Compliance with destination country regulations, which is the Buyer's responsibility to verify before ordering.
All product images, specifications, and descriptions on our website are for general informational purposes only. Actual products may vary slightly in appearance. The binding specification is that stated in the proforma invoice.
9. Limitation of Liability
To the maximum extent permitted by law, GreenHarvest's total liability for any claim arising from a transaction shall not exceed the total invoice value of the goods in question. We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profit, loss of crop, loss of business, or loss of goodwill. Our liability is further limited to product replacement or refund as described in our Refund & Return Policy.
10. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, floods, earthquakes, epidemics, war, terrorism, civil unrest, government action, embargoes, port closures, shipping line disruptions, raw material shortages, or energy supply interruptions. The affected party shall notify the other party within 7 days of the event and make all reasonable efforts to resume performance as soon as possible. If the force majeure event continues for more than 60 days, either party may terminate the affected order by written notice, and advance payments will be refunded minus costs already incurred.
11. Governing Law
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to transactions with buyers located in CISG member countries, except where the parties expressly agree otherwise in writing.
12. Dispute Resolution
In the event of any dispute arising from a transaction, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the following dispute resolution mechanism applies:
- The dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Beijing, China, in accordance with its arbitration rules in effect at the time.
- The arbitration shall be conducted in the English language.
- The arbitral award shall be final and binding on both parties.
- Either party may apply to a court of competent jurisdiction for interim or injunctive relief pending arbitration.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Changes will not affect orders already confirmed under previously applicable Terms. We encourage you to review these Terms periodically.
